Notice is hereby given that a public hearing pursuant to Section 859-a(2) of the General Municipal Law of the State of New York (the ìActî) will be held by the County of Delaware Industrial Development Agency (the ìAgencyî) on the 27th day of June, 2023 at 6:00 oíclock p.m., local time, at the Town of Walton Town Hall located on 129 North Street in the Town of Walton, Delaware County, New York in connection with the following matters: Introdacqua LLC, a New York State limited liability company (the ìCompanyî), submitted an application (the ìApplicationî) to the Agency, a copy of which Application is on file at the office of the Agency, which Application requested that the Agency consider undertaking a project (the ìProjectî) for the benefit of the Company, said Project consisting of the following: (A) (1) the acquisition of an interest in an approximately 2 acre parcel of land located at 177 Industrial Park Road (tax map number 273.-1-40) in the Town of Walton, Delaware County, New York (the ìLandî), (2) the construction on the Land of an (a) approximately 5,600 square foot processing facility and (b) approximately 2,000 square foot holding pen (collectively, the ìFacilityî) and (3) the acquisition and installation of various machinery and equipment therein and thereon (the ìEquipmentî) (the Land, the Facility and the Equipment hereinafter referred to as the ìProject Facilityî), all of the foregoing to be owned by the Company and leased to Tiberio Custom Meats, Inc. (the ìTenantî) to be operated as a processing facility for the harvesting, processing and packaging of various meat products and other directly and indirectly related activities; (B) the granting of certain ìfinancial assistanceî (within the meaning of Section 854(14) of the Act) with respect to the foregoing, including potential exemptions from certain sales and use taxes, real property taxes, real estate transfer taxes and mortgage recording taxes (collectively, the ìFinancial Assistanceî); and (C) the lease (with an obligation to purchase) or sale of the Project Facility to the Company or such other person as may be designated by the Company and agreed upon by the Agency. The Agency is considering whether (A) to undertake the Project, and (B) to provide certain exemptions from taxation with respect to the Project, including (1) exemption from mortgage recording taxes with respect to any documents, if any, recorded by the Agency with respect to the Project in the office of the County Clerk of Delaware County, New York or elsewhere, (2) exemption from deed transfer taxes on any real estate transfers, if any, with respect to the Project, (3) exemption from sales taxes relating to the acquisition, construction and installation of the Project Facility, and (4) in the event that the Project Facility would be subject to real property taxation if owned by the Company but shall be deemed exempt from real property taxation due to the involvement of the Agency therewith, exemption from real property taxes (but not including special assessments and special ad valorem levies), if any, with respect to the Project Facility, subject to the obligation of the Company to make payments in lieu of taxes with respect to the Project Facility. If any portion of the Financial Assistance to be granted by the Agency with respect to the Project is not consistent with the Agencyís uniform tax exemption policy, the Agency will follow the procedures for deviation from such policy set forth in Section 874(4) of the Act prior to granting such portion of the Financial Assistance. If the Agency determines to proceed with the Project, the Project Facility will be acquired, constructed and installed by the Agency and will be leased (with an obligation to purchase) or sold by the Agency to the Company or its designee pursuant to a project agreement (the ìAgreementî) requiring that the Company or its designee make certain payments to the Agency.††The Agency has not yet made a determination pursuant to Article 8 of the Environmental Conservation Law (the ìSEQR Actî) regarding the potential environmental impact of the Project. The Agency will at said time and place hear all persons with views on either the location and nature of the proposed Project, or the Financial Assistance being contemplated by the Agency in connection with the proposed Project. The title of the bond resolution is: ìBOND RESOLUTION DATED JUNE 6, 2023 OF THE BOARD OF EDUCATION OF THE WALTON CENTRAL SCHOOL DISTRICT AUTHORIZING THE CONDUCTING OF A SCHOOL DISTRICT CONSTRUCTION PROJECT IN AND FOR THE WALTON CENTRAL SCHOOL DISTRICT, DELAWARE COUNTY, NEW YORK, AT AN ESTIMATED MAXIMUM COST NOT TO EXCEED $4,300,000 AND AUTHORIZING THE ISSUANCE OF SERIAL GENERAL OBLIGATION BONDS OF THE SCHOOL DISTRICT IN THE MAXIMUM AGGREGATE PRINCIPAL AMOUNT OF $4,300,000 TO PAY THE COSTS THEREOF AFTER TAKING INTO ACCOUNT STATE AID AND THE AMOUNTS EXPENDED FROM THE SCHOOL DISTRICTíS UNAPPROPRIATED FUND BALANCE AND CAPITAL RESERVE ACCOUNT.î 2. The bond resolution, among other things, authorized the Walton Central School District, Delaware County, New York (the ìDistrictî), as previously approved by the voters of the District at a special District meeting duly held on March 15, 2022, (a) to undertake the acquisition, construction, reconstruction, improvement, rehabilitation, repair, furnishing and equipping of a School District construction project, including, without limitation, the payment of costs preliminary and incidental thereto, at Townsend Elementary School, consisting of the removal of the second floor finish flooring and subfloor down to the steel structure and replacement with new steel deck, concrete subfloor, and finish flooring, associated removal and replacement of walls, doors, casework, ceilings, and lighting, and improvements to mechanical, electrical, plumbing, and other infrastructure, along with the acquisition of certain original furnishings, machinery, equipment, apparatus, implements and fixtures and other site work and incidental improvements required in connection therewith for such construction and school use (the ìProjectî), (b) to expend a total amount not to exceed $4,300,000, (c) to offset a substantial part of the Project cost with New York State Building Aid funds and other grant funds, expected to be received by the District, to the extent received, (d) to expend up to $1,000,000 from the School Districtís Capital Reserve Account, (e) to raise any remaining amount by the levy of a tax upon the taxable property of said School District collected in annual installments, (f) in anticipation of such tax, State Aid, and grants, to issue debt obligations of said School District from time to time in such amounts as may be determined by the Board of Education after taking into account State Aid and the amounts expended from the School Districtís unappropriated fund balance and Capital Reserve Account, and (g) to use the taxes levied and State Aid to pay such debt service when due. 3. The estimated maximum cost of the Project is not to exceed $4,300,000. The District †authorizes the issuance of serial general obligation bonds (the ìBondsî) and bond anticipation notes (the ìNotesî) in the aggregate principal amount not to exceed $4,300,000, after taking into account State Aid and the amounts expended from the School Districtís unappropriated fund balance and Capital Reserve Account to pay the costs of the Project, pursuant to and in accordance with the Local Finance Law, constituting Chapter 33-a of the Consolidated Laws of the State of New York (ìthe ìLawî), in order to finance the Project and the expenditure of up to $1,000,000 from the Districtís Capital Reserve Account. 4. The maximum period of probable usefulness of the Facilities Project is thirty (30) years within the limitation of Section 11.00(a)(97) of the Law.
